As asked by Stefan, I'm testing the emacs-24 branch.

Just to let you know, the above problem is *still* occurring[1] with:

  GNU Emacs 24.2.91.1 (i386-mingw-nt5.1.2600) of 2012-12-15 on MS-W7-DANI

when

  (setq shell-file-name "bash")

[1] At the frequency of once a day or so. Killing `es.exe' lets Emacs resume.
